I have an old down lighter above my oven, it's abit old fashioned and takes a screw bulb.

I want to replace it because as it's the old type ones (1980 something) it looks naff, and has holes in the top unit for heat to escape, I don't like the steam from cooking going up through the light.

It only has a live and neutral wire (no earth). I can't find a bathroom down lighter that will fit the existing hole (105mm), and don't want to faff about filling the hole then re-cutting it neatly.

I want to replace the down lighter with a ceiling light, that way I can fill the hole not so neatly and the unit will cover it.

But the instructions say connect live, neutral and earth. So will it work without an earth?

the down lighter is connected to a joint box (? round small plastic unit) that 2 other down lighters are connected to, all are just live and neutral connected.

Use one of these

If your wiring does not have an earth, then you absoloutely must not use a fitting which requires one.
