Fan / Ventilator bathroom change

Greetings,

As you can see on the second picture, I need to replace and repair the fan / vent.
It is broken on the outside - Only aesthetic aspect so ok.

The inside, as it was making noise, I kind of end up breaking it and when repairing it, broke it event more.

Looking online saw two different model. And wondering which one I should go for and why?

I really do not want to hear a wheel turning and spinning around bearing in mind my bedroom is next door to the bathroom.
And when in the winter, do not want to get freezing cold air coming in!!!!!
