Fixing method for capping over existing soffit

I am planning to cap over my existing wooden soffit which apart from requiring re-painting is structurally sound (rot free).
The existing soffit (1920's house) isn't vented so I am not planning to fit any vents into the new material.
I have seen some installation videos where timber battens are secured to the existing timber with the replacement soffit nailed to that. However, provided the existing material is sound (which it is), do I need to fit battens or can I fix the new soffit directly to the old without leaving a gap?

Fix it directly to the old if you like. Make sure your windows open when new fascia in place.
