underlay onto wooden floorboards - membrane?

Hi,

I am planning on laying 9mm Cloud 9 Cirrus onto wooden floorboards upstairs. Do I need a membrane of some sort to stop dirt/dust coming up through the underlay?

Also, while I am here - What are the pros and cons for foam over rubber underlay?
