Prepping walls for painting?

What's the 'norm' for prepping previously-painted walls prior to matt emulsion painting?

Two issues on different walls:

The first, the walls are very rough with what looks like very thick paint daubed on with a poor brush ie showing all of the brush strokes. Should I sand this flat?

The second, very bumpy, flaky and lifting. I can scrape off all loose stuff but am then left with many dips with the difference in level between the paint surface and the plaster beneath. Should I be filling each and every one of these?

Alternatively, it is better to simply skim over the whole lot and start again? If yes, then can the existing paint be skimmed over or does it all have to be removed first?
