Can you lay laminate underlay straight on to floor boards?

Hi, just considering laminate flooring (TileLoc) for the bathroom floor and wondered how best to prepare the floor. We are loooking at 3mm underlay board with the wooden laminate boards on the top. Just wondered if we need to cover the floor boards first or whether it is ok to lay the underlay straight on to the floorboards. Also, should there be any extra waterproof membraines or is the underlay adequate. We are pretty new to this type of flooring and thought it might be better than the vinyl type lino. Thank you for any advice.
