I want to put matt emulsion on top of old gloss that is on the skirting boards and window sills, I dont like the look of the heavy gloss paint, will this be ok if I prepare it well?

Why not use oil-based eggshell finish? That gives you the non-gloss effect with a hard-wearing, wipe clean finish.
