solid oak underlay

i'm about to lay some solid oak flooring over a existing floor of tongue and groove floorboards. As the floor is a bit uneven i was thinking of laying some of the 5mm fibre board underlay first.then nailing the oak on top. I thought this will also help with the noise as its an upstairs room .
Is this a good idea ? are there any other methods which are more suitable.
