Hi I'm thinking of pitching a rear flat roof extension. The existing is sound, can I fit the new rafters over the old roof on to new wall plates, or is it reccommended to remove the old board/ felt.

Yes. No need for overly large fascia either depending on how you construct the soffit overhang and how you position the new wall plate. If window heads allow, there is no reason why it can't look like any conventional pitched roof with soffit terminating at 2100mm and a standard fascia.
Don't forget that a regular pitched roof has the blockwork and subsequent wall plate set a fair bit higher than the external masonry and what will be the finished soffit height.
